PARTICIPATION IN THIS INTENT 2023 – “CAPTURE THE FLAG” COMPETITION (“COMPETITION”) IS SUBJECT TO THESE COMPETITION RULES, CYBERARK PRIVACY POLICY, CTFDd TERMS OF USE, CTFd PRIVACY POLICY AND THE INTENT SUMMIT TERMS AND CONDITIONS (THE “RULES”). PLEASE NOTE THAT THE CTFd TERMS OF USE AND PRIVACY POLICY ARE IN NO WAY UNDER THE CONTROL OF OR OTHERWISE ASSOCIATED WITH CYBERARK AND SHOULD BE THOROUGHLY REVIEWED BY YOU.

BY INDICATING CONSENT ELECTRONICALLY, OR ACCESSING OR OTHERWISE PARTICIPATING IN THE COMPETITION, YOU AGREE TO THE RULES. IF YOU DO NOT AGREE TO THE RULES, DO NOT INDICATE CONSENT ELECTRONICALLY AND DO NOT PARTICIPATE IN THE COMPETITION. NO PURCHASE NECESSARY TO ENTER OR WIN.

The Competition is managed by CyberArk Software Ltd. (“CyberArk”) in association with Checkmarx, Pentera and F5. Parts of the Competition will be hosted on CTFd. The Competition is comprised of a Virtual Competition and an On-Site Competition (as such terms are defined below), pursuant to the terms herein. References herein to the “Competition” shall mean both the Virtual Competition and the On-Site Competition.

COMPETITION PERIODS

The virtual Competition will begin on Wednesday, December 14, 2023 and will end on Friday, December 16, 2023, or as otherwise updated on the Intent website: intentsummit.org (“Intent Website”) (the “Virtual Competition”). The specific hours of the Virtual Competition will be updated on the Intent Website.

The on-site Competition will take place during the “Intent” summit on Sunday, December 18, 2023 at 09:00-17:00 IST at East, Meitav St 13, Tel Aviv-Yafo, Israel (the “Intent Summit” and the “On-Site Competition”, respectively). Participation in the Intent Summit requires pre-registration.

ELIGIBILITY

Individuals who meet all the following criteria are eligible to participate in the Competition: (1) are over the age of eighteen (18) at the time of registration; (2) are not a resident of Cuba, Iran, Syria, Lebanon, Crimea Region of Ukraine, the Donetsk People’s Republic (DNR) and Luhansk People’s Republic (LNR) regions of Ukraine, North Korea or Sudan; and (3) are not restricted by applicable export control regulations or sanctions.

Current employees, interns, officers, contractors or directors of CyberArk, Checkmarx, Pentera and F5 (and those with whom such individuals are domiciled), are not eligible to participate in the Competition.

CyberArk reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to CyberArk) including, without limitation, government issued photo identification for the purposes of verifying an individual’s eligibility to participate in the Competition. Failure to provide such proof to CyberArk’s satisfaction in a timely manner, or failure to provide true and accurate registration information may result in disqualification.

PARTICIPATION

In order to participate in the Competition, you must register to the Competition by filling in your full and accurate details and indicating your consent to the Rules. You may only participate in the Competition once, as a single user or under a group user. Participants may work in groups.

YOUR ENTRIES

Any input, answer, report, response provided by you during the Competition, including your proposed solutions to the Challenges (collectively, “Entry”) must comply with the following requirements:

  • be your original creation, developed solely by you or with the group that you are participating with. Reproducing, modifying, enhancing or altering any third party’s work does not qualify as your original creation;
  • not violate the rights of any third party, including, but not limited to copyright. Your answers must not defame, infringe or violate publicity or privacy rights of any person, or otherwise infringe upon any person’s, entity’s or organization’s personal or proprietary rights, including but not limited to, intellectual property rights. Your Entries must not contain any trademarks, logos, or trade dress, or advertise or promote any brand or product of any kind, without express, written, prior permission of the trademark or brand owner;
  • not been published previously, used commercially, submitted to another competition or contest, or won any other award;
  • not contain any commercial content that promotes any product or service;
  • not misrepresent or contain disparaging remarks about CyberArk or its products;
  • not be false, inaccurate or misleading;
  • not violate any law or regulation;
  • not be libelous, threatening or harassing;
  • not instigate others to commit illegal activities or violate human rights; and
  • not contain any viruses, worms, or other interfering computer programming.

By submitting your Entries, you (i) grant CyberArk a non-exclusive, perpetual, worldwide license to publish, display, reproduce, modify, edit or otherwise use your Entries, in whole or in part, in any platform (including during the Intent Summit or on CyberArk’s blog, Intent Website and CTFd website); (ii) waive all moral rights in and to your Entries in favor of CyberArk; and (iii) agree to release, indemnify and hold CyberArk harmless from and against any and all claims associated with your Entries, including, but not limited to, with respect to publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relate in any way to your Entries.

During the Competition period, you may not publish or distribute your Entries outside the Competition platform or assist other participants outside of your group in preparing or submitting their Entries.

CyberArk reserves the right, in its sole and absolute discretion and at any time, to modify, edit or disqualify any Entry which does not meet the specifications above or if a complaint or claim is received with respect to an Entry, and disqualify the participant(s) who submitted the Entry.

PUBLICITY

By participating in the Competition, you acknowledge and agree that your user details used for the Competition and information regarding your participation (e.g., how fast you submitted your Entries compared to other participants) may be published, viewed, shared and commented on by CyberArk, other participants and the general public on relevant platforms.

If awarded with any prize, you acknowledge and agree that CyberArk may publish and present your information (including your photograph) as the winner of the prize on any platform at CyberArk’s choice.

PRIZES

CyberArk will post a few challenges during the Competition (“Challenge”). Successfully solving each Challenge will award you or your group with a certain number of points. The number of points per Challenge may change during the course of the Competition at CyberArk’s sole discretion and depending on the number of participants/groups that take part in solving each Challenge. Participants may choose to receive clues for some of the Challenges in exchange for a certain number of points (as may be indicated during the Competition).

Virtual Competition: Single participants or groups who achieved the highest accumulated number of points within the shortest time period will be eligible to receive the following prizes: First place winner will receive a prize in the amount of USD $2,048; Second place winner will receive a prize in the amount of USD $1,024; Third place winner will receive a prize in the amount of USD $512. The maximum number of winners is three (3) different single participants or groups.

On-Site Competition: Participants or groups who are declared the winners of the On-Site Competition, based on their achievements and as determined by the Competition manager, will be eligible to receive the following prizes: First place winner will receive a Sony PlayStation 5 device; Second place winner will receive an Ender 3 3D printer; Third place winner will receive a Nintendo Switch Lite device. The maximum number of winners is three (3) different single participants or groups.

Each single participant or group may only win one prize. If a group wins any of the prizes, such group will only be eligible for one single prize for the entire group. The prizes will be awarded solely to the person whose email address is listed on the group registration (“Registrant”). It is the sole responsibility of the Registrant to distribute any awarded prizes to their group members, and in any case, the prizes must not be distributed or otherwise shared with third parties in violation of applicable policy or laws. CyberArk takes no liability for the distribution of prizes to other group members.

Winners will not be eligible for any additional awards from CyberArk for one calendar year from date of award.

All federal, state and local taxes, fees and surcharges on prizes are the sole responsibility of the winner.

Prizes will only be awarded to participants or groups who registered to the Competition and are compliant with the Rules.

Prizes must be accepted as awarded. CyberArk reserves the right to substitute a prize or a prize component with one of equal or greater value. Time of delivery of prizes will be at CyberArk’s sole discretion. Prizes will remain available for the eligible winners for a limited period of 30 days following the date of announcing the winners. If a potential winner declines the prize, does not respond to the prize notification within 30 days following the notification date, fails to claim the prize, is unavailable for prize fulfillment, fails to abide by these Rules, or is ineligible, CyberArk may select the next participant/group with the highest score or achievements as the winner. Prior to receiving the prize, and as a condition thereof, the winners (including, each individual from an eligible winning group) will be required to execute such document(s) as may be requested by CyberArk.

CyberArk accepts no liability with respect to the prizes, or to any tax liability that may arise.  You will be solely responsible and accountable for any and all taxes, charges, duties and any other compulsory payment arising out of or connected to any prizes which you may receive during the Competition.

COMPLIANCE WITH ANTI-CORRUPTION LAWS

CyberArk’s policy is to comply with all applicable anti-corruption laws and regulations in all countries in which we do business.

Neither free attendance to this Competition or any of the prizes offered should be construed as an attempt to improperly influence anyone and if you believe that accepting such prizes would influence your business judgment, we request that you do not accept.

By participating in the Competition, you confirm that: (1) your participation is consistent with your organization’s policies and any applicable law(s), including, in particular, if you are a Government Official as defined below or as defined by your own organization and (2) you are not a decisionmaker on any pending or anticipated tenders related to CyberArk products. If your organization’s policies limit your participation in the Competition, please do not participate.

Governmental Official” is any officer or employee of a government or any department, agency, or instrumentality thereof or of a public international organization, or any person acting in an official capacity for or on behalf of such person. In addition, Government Official includes any: (1) officer, employee or person acting in an official capacity on behalf of a political party; (2) a candidate for political office; (3) an officer or employee of a state-owned or state-controlled company, regardless of the officer’s or employee’s rank or title; (4) uncompensated honorary officials who have influence in the award of business; (5) members of royal families; (6) any entity hired to review or accept bids for a government agency; (7) officials, whether elected, appointed or under a contract, permanent or temporary, who hold a legislative, administrative, or judicial position of any kind in a country or territory; (8) any person who performs public functions in any branch of the national, local, or municipal governments of a country or territory or who exercises a public function for any public agency or public enterprise of such country or territory; and (9) spouses and other immediate family members of any of the persons listed above.

GENERAL

You must bring your own computer to the On-Site Competition (BYOD). The sole determinant of the time for the purposes of a valid Entry in any virtual Challenge, whether in the Virtual Competition or the On-Site Competition will be the Competition’s server machine(s). The Competition manager may determine and announce the end time of the On-Site Competition, even in case no participant has successfully completed the final Challenge.

Participants in the On-Site Competition may receive a USB dongle which they will be required to use in order to receive the Challenges. By using the USB dongle you acknowledge and agree that the use of the USB dongle is at your sole risk and responsibility. CyberArk shall not be liable for any loss or damage arising from or related to the use of the USB dongle by participants.

During the Virtual Competition, participants will be required to use Discord as a communication platform. By using Discord, you agree to comply with Discord’s Terms of Service and Community Guidelines, and you acknowledge that any data, information or content shared on Discord may be visible to other users. CyberArk shall not be liable for the privacy or security of such data. CyberArk will apply commercially reasonable efforts to provide support and to respond to questions posted on Discord by participants. However, CyberArk reserves the right to prioritize and address inquiries at its sole discretion, and does not guarantee 24/7 support and availability.

Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Competition or to submit Entries, or any other methods not authorized by the Rules, for example, but not limited to, creating multiple user registrations, shall be deemed as tampering and may disqualify you from entering, participating, winning prizes, and preclude you from participating in future Competitions and promotions, at CyberArk’s sole discretion.

If CyberArk determines, in its sole and absolute discretion, that any participant or group does not comply with the Rules, for any reason at any time, or if a participant or group causes disruption to Competition (by way of Denial of Service (DoS) or otherwise), then CyberArk reserves the right to disqualify the participant or group and/or their associated Entries.

All rights, title, and interest in and to the Challenges are hereby reserved by CyberArk. Nothing in the Rules shall transfer ownership of any intellectual property rights from CyberArk to you. You may not copy, use, sell or distribute any part of the Challenges for any purpose without obtaining CyberArk’s prior written consent. All trademarks referenced in this material are the property of their respective owners.

CyberArk reserves the right to cancel, reschedule suspend, withdraw or amend the Competition and the Rules at any time and without notice, and will not be liable for any associated claims, damages, losses, expenses, costs or liabilities. CyberArk will not be liable in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud or any other cause beyond CyberArk’s reasonable control that interferes with the proper conduct of this Competition. CyberArk will not be liable for any failure of the CTFd website or any other website or server used during the Competition, for any technical malfunction or other problems relating to the network or communication lines, computer on-line systems, servers, access providers, computer equipment or software.

As the organizer, CyberArk will manage the Competition in good faith and in conformance with industry standards. CyberArk makes no other representations or warranties regarding the Competition.

To the extent permitted by applicable law, under no circumstances will CyberArk or anyone acting on its behalf be liable in any way for any claims, damages, losses, expenses, costs or liabilities whatsoever arising from any case of force majeure. In no event will CyberArk or anyone acting on its behalf be liable for any indirect, special, incidental, consequential or punitive damages however caused, whether in contract, tort or under any other theory of liability, and whether or not any such person or entity has been advised of the possibility of such damages. In no event will CyberArk be liable for any bodily injury or property damages caused due to a Participant’s acts or omissions during the Challenges. In no event will CyberArk’s, or anyone acting on its behalf, liability arising out of or related to this event exceed $100.

The Rules and any action arising out of or in connection with them or with the Competition are governed by the laws of Israel. Both you and CyberArk agree to the exclusive jurisdiction of the courts of Tel-Aviv-Jaffa, Israel.
