Terms and Conditions: Intent Summit 2024
As the organizer, CyberArk will manage this event in good faith and in conformance with industry standards. CyberArk makes no other representations or warranties regarding the event. We reserve the right to change the agenda without prior notice, and will not be liable for any claims, damages, losses, expenses, costs or liabilities whatsoever arising out of or in connection with the cancelation or rescheduling of the event for any reason.CyberArk may also decline to accept a registration in its sole discretion for any reason.
CyberArk’s policy is to comply with all applicable anti-corruption laws and regulations in all countries in which we do business. This event is designed to establish a research community to discuss vulnerability research methods, tools and processes. CyberArk is offering certain gifts and entertainment in connection with this event in order to help engage attendees. Per our Code of Conduct and Anti-Corruption Policy, these gifts and entertainment have been reviewed and deemed to be reasonable and appropriate. Neither free attendance to this event or any of the gifts and entertainment offered should be construed as an attempt to improperly influence anyone and if you believe that accepting such business hospitalities would influence your business judgment we request that you do not accept and inform the CyberArk Compliance team. We also acknowledge that our partners may have similar policies or corporate code of ethics. By registering, you confirm that your participation in the event is consistent with your organization’s policies and any applicable law(s), including, in particular, if you are a Government Official as defined below or as defined by your own organization. If your organization’s policies limit your participation in the event, please do not register and instead, contact us so that we can work with you to support compliance with your organization’s policies as well as your attendance at the event.
“Government Official” is any officer or employee of a government or any department, agency, or instrumentality thereof or of a public international organization, or any person acting in an official capacity for or on behalf of such person. In addition, Government Official includes any: (1) officer, employee or person acting in an official capacity on behalf of a political party; (2) a candidate for political office; (3) an officer or employee of a state-owned or state-controlled company, regardless of the officer’s or employee’s rank or title; (4) uncompensated honorary officials who have influence in the award of business; (5) members of royal families; (6) any entity hired to review or accept bids for a government agency; (7) officials, whether elected, appointed or under a contract, permanent or temporary, who hold a legislative, administrative, or judicial position of any kind in a country or territory; (8) any person who performs public functions in any branch of the national, local, or municipal governments of a country or territory or who exercises a public function for any public agency or public enterprise of such country or territory; and (9) spouses and other immediate family members of any of the persons listed above.
You acknowledge and agree that you may have access to confidential and or proprietary information at the event and therefore you will only use such information as needed for the event and your business relationship with CyberArk.
Validly registering for the event shall entitle you to admittance as a participant, subject to these terms and conditions. If you register for the event as a representative of a company or other organization, you need to confirm that you have authority to agree to these terms and conditions on behalf of the company or other organization. You shall also ensure other participant(s) from the company or other organization attending the event are made aware of and shall be bound by these terms and conditions. The event requires an event pass to enable entry, and you may be required to provide evidence of your identity (in accordance with applicable local laws) for your event pass to be issued to you. We reserve the right to exclude from the event any individual who does not have a valid event pass at the start of the event. Participants must keep their event pass on them at all times during their attendance at the event and CyberArk reserves the right to refuse entry to participants who fail to produce a pass when requested. If your event pass is lost, misplaced, stolen or forgotten, a replacement event pass will only be issued to you at the sole discretion of CyberArk and may be subject to purchase at the prevailing on-site participant rate. Participants may not sell, transfer, or share their event passes. Registered participants may be substituted by other individuals at no extra cost by notice in writing to CyberArk at any time, subject to compliance with these terms and conditions, including (without limitation) the need for any substitute individuals to provide registration details at least 2 business days in advance of attending the event and that individuals shall be subject to screening. All event passes are the property of CyberArk and must be returned to CyberArk upon request. Attendees found wearing falsified event passes and/or sharing or swapping event passes shall be required to leave the event.
We reserve the right to refuse entry (virtually or in-person) by any participant to the event or to remove any participant from the event or block them from the online event platform without any liability if, in our sole discretion, we determine that such participant’s presence or conduct could cause: (a) CyberArk, its affiliates, the event venue owner, the online event platform or the participant to fail to comply with applicable law, including in circumstances where the transactions or payments contemplated under these terms and conditions are in breach of, or otherwise targeted by sanctions or other laws; (b) CyberArk to breach any term, warranty, condition or other provision of any contract or undertaking to which CyberArk and/or any of its affiliates is or becomes a party; or (c) disruption at the event, threaten the safety (including online) of other attendees or hinder the enjoyment of the event by other attendees, without prejudice to any other rights or remedies available to CyberArk. CyberArk reserves the right to recover from you any loss or damage incurred or suffered by us, the event venue, the online event platform or any other participants as a result of your conduct at the event or failure to comply with these terms and conditions. In such circumstances, a participant shall not be entitled to a refund of any fees.
By attending the event, you agree to: (a) observe the rules, policies and procedures of the event venue including in relation to health and safety and any reasonable instructions issued by CyberArk and/or the management of the event venue; (b) behave in a respectful, professional and appropriate way that does not breach the laws or regulations of your home country or of the host country or that risks bringing the event or CyberArk into disrepute; (c) have adequate insurance for your own requirements, including personal accident and travel insurance, prior to attending the event; and (d) have all necessary travel documentation, including but not limited to, visas and other entry permits into the country where the event is held. You agree that your travel to and attendance at the event is at your own risk and not the responsibility of CyberArk. CyberArk is not obliged to provide any advice or assistance relating to the obtaining of visas. Failure by any participant to obtain a visa to attend the event shall not entitle him or her to a refund of any fees.
By attending the event, participants acknowledge that photographs and filming may take place at the event. CyberArk reserves the right to use images and videos recorded at the event with your photograph and/or likeness in future marketing materials, including social media channels, websites, and print material, without obtaining any further approval from you or making any payment to you.
CyberArk will retain a record of your attendance and interaction with the event, including questions submitted and other participant activity. This data may be processed to enhance your experience of the event and for marketing purposes, subject to your preferences. These terms and conditions and any action arising out of or in connection with them are governed by the laws of Israel. Both you and CyberArk agree to the exclusive jurisdiction of the courts of Tel-Aviv-Jaffa. Under no circumstances will CyberArk or anyone acting on its behalf be liable in any way for any claims, damages, losses, expenses, costs or liabilities whatsoever arising from any case of force majeure. In no event will CyberArk or anyone acting on its behalf be liable for any indirect, special, incidental, consequential or punitive damages however caused, whether in contract, tort or under any other theory of liability, and whether or not any such person or entity has been advised of the possibility of such damages. In no event will CyberArk’s, or anyone acting on its behalf, liability arising out of or related to this event exceed $1,000. To the extent that you use any websites, facilities or services of third-party vendors CyberArk may utilize in relation to this event or any related offer(s), you agree to comply with the terms and conditions required by those third parties. Furthermore, please note that the privacy policies governing such third-party websites are in no way under the control of or otherwise associated with CyberArk and should be thoroughly reviewed by you.
